General Terms of Use

These Terms constitute a legally binding agreement between you and Adscod Ltd. governing your access to and use of our websites.

Effective Date: March 28, 2026

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Adscod Ltd. (“Adscod”, “we”, “us”, or “our”), a company duly incorporated and existing under the laws of the Republic of Uganda. These Terms govern your access to and use of the websites operated by Adscod that link to these Terms (the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you are not authorized to access or use the Site.

Use of Adscod's platform and services is governed separately by:

We reserve the right to amend or update these Terms at our sole discretion. Continued use of the Site after such changes shall constitute your binding acceptance of the revised Terms.

1. Authorized Use of the Site

1.1 You may access and use the Site and its content, including all text, graphics, data, audio, video, software, and other materials (collectively, the “Content”), solely for:

  • Personal, non-commercial informational purposes;
  • Evaluating Adscod's products and services.

1.2 All access must be in accordance with these Terms and applicable laws.

2. Prohibited Conduct

You agree not to:

  • 2.1 Use the Site in contravention of these Terms or the Acceptable Use Policy;
  • 2.2 Reverse-engineer, decompile, or attempt to derive source code from the Site;
  • 2.3 Reproduce, distribute, or exploit the Site or its Content for commercial purposes without prior written consent;
  • 2.4 Use bots, crawlers, or any automated systems to access the Site improperly;
  • 2.5 Interfere with Site operations, including overloading infrastructure;
  • 2.6 Frame, mirror, or deep-link to any part of the Site without written permission;
  • 2.7 Attempt to gain unauthorized access to the Site or related systems;
  • 2.8 Use the Site for any unlawful, fraudulent, defamatory, or malicious activities.

Misuse of the Site may result in legal liability under applicable laws.

3. Intellectual Property Rights

3.1 The Site and Content are the exclusive property of Adscod or its licensors, protected by international copyright, trademark, and other laws.

3.2 You may not copy, modify, publish, transmit, or exploit any part of the Site without Adscod's prior written consent.

3.3 All trademarks and logos displayed on the Site are the property of Adscod or their respective owners. No rights are granted without explicit permission.

3.4 By submitting feedback or suggestions, you grant Adscod the right to use and incorporate them without obligation or compensation.

4. User Submissions

4.1 You represent that all materials you submit to the Site (“User Materials”) are original or you have full rights to submit them.

4.2 You warrant that your User Materials do not:

  • Infringe on third-party rights;
  • Contain false, unlawful, or defamatory content;
  • Violate any applicable laws or agreements.

4.3 Adscod assumes no responsibility or liability for any User Materials submitted by you or other users.

6. Downloads and Security

6.1 Adscod does not guarantee that downloadable files are free of viruses or harmful code.

6.2 You are responsible for using antivirus software and implementing security precautions.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer

The Site and Content are provided “as is” and “as available”, without warranties of any kind. Adscod disclaims all implied warranties, including:

  • Merchantability,
  • Fitness for a particular purpose, and
  • Non-infringement.

7.2 Adscod does not guarantee accuracy, completeness, or timeliness of the Site or Content.

7.3 Limitation of Liability

Adscod, its affiliates, officers, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, data, or goodwill;
  • Errors or omissions in Content;
  • Unauthorized access to personal data.

7.4 If liability is imposed despite the above, Adscod's total cumulative liability shall not exceed EUR 100 (One Hundred Euros).

8. Indemnity

You agree to indemnify and hold harmless Adscod and its affiliates from any claim, loss, or expense, including legal fees, arising from:

  • Your violation of these Terms;
  • Misuse of the Site or Content;
  • Breach of applicable laws or third-party rights.

9. Privacy

Your use of the Site is governed by the Privacy Policy, which is incorporated into these Terms by reference.

10. Supplementary Terms

10.1 Advertisers: Use of Adscod's advertising services is subject to the Customer Terms of Service. Advertisers fund a prepaid Wallet and run campaigns on a Pricing Model of their choice — cost-per-click (“CPC”, minimum $0.40 per click), cost-per-action (“CPA”, minimum $3.50 per action), or cost-per-mille (“CPM”, minimum $1.50 per 1,000 impressions) — subject to a minimum Wallet funding amount of $10. Advertisers configure targeting criteria (such as country, city, and device type) and supply a creative; campaigns are matched automatically to relevant Creators and Publishers and do not involve the selection, vetting, or invitation of individual Creators by the Advertiser.

10.2 Creators: Use of the Adscod Creator Service is governed by the Creator Terms of Use and the Creator Commission Terms. Creators receive a free public bio page and may display Brand Campaign cards (automatically matched, earning 65% of the applicable CPC on each verified click, plus 65% of any brand affiliate commission on campaigns with affiliate tracking enabled) and Custom Link cards (no revenue share). Creators may withdraw their available Wallet balance at any time via mobile money or bank transfer, with no minimum withdrawal threshold.

10.3 Publishers: Use of the Adscod Publisher Service is governed by the Developer Terms. Publishers integrate the Adscod serve API into their site or application to receive matched native ad placements and earn 65% of resulting ad revenue, paid out monthly.

10.4 Payments & Wallet: All monetary transactions on the Platform, including Advertiser Wallet funding, Creator and Publisher payouts, and related transfers, are processed exclusively through Flutterwave Technology Solutions Limited (“Flutterwave”), a licensed third-party payment infrastructure provider, via card, bank transfer, or mobile money. Adscod does not directly hold, custody, or manage user funds. The Wallet displayed in your account is a prepaid balance and accounting ledger maintained by Adscod to track funds available for spending or withdrawal; it is not an escrow account, and no funds are held pending approval or released upon completion of any deliverable. For Advertisers, each verified click on a matched campaign debits the Advertiser's Wallet in real time at the applicable CPC bid; the campaign automatically pauses if the Wallet balance is insufficient to cover further clicks. For Creators and Publishers, the Wallet reflects accrued earnings available for withdrawal.

10.5 Community Standards: All users must comply with our Community Guidelines and Acceptable Use Policy.

10.6 Platform Nature Disclosure

Adscod Ltd. is a technology platform company, not a bank, financial institution, or payment service provider. Adscod does not accept deposits, issue e-money, or operate a payment system. All payment processing, fund settlement, and transfers are performed by Flutterwave, which is licensed and regulated by the Central Bank of Nigeria and authorised to operate across multiple African jurisdictions. The Wallet balances displayed on the Platform represent accounting entries that track amounts owed to you or available for your use; they do not constitute deposits held by Adscod. Payouts are initiated by Adscod through Flutterwave's transfer infrastructure to your designated mobile money or bank account.

10.7 The Eye – Automated Matching and Fraud Detection: Adscod operates an automated system known as “The Eye” that (a) matches live Advertiser campaigns to Creator bio pages and Publisher placements based on targeting fit, including country, city, device, and category signals, without any manual application or approval step by either party, and (b) screens every click for bot activity and other invalid-traffic signals before billing. Clicks flagged by The Eye as fraudulent or invalid are not charged to the Advertiser's Wallet and are not credited as Creator or Publisher earnings. Matching and fraud-screening outcomes are generated automatically and do not constitute a guarantee of campaign performance or earnings.

10.8 Conversion Tracking: Adscod provides tracking and attribution tools that Advertisers may deploy on their websites or landing pages to measure campaign-driven clicks and conversions. Data collected via these tools is processed in accordance with our Privacy Policy and Cookies Policy. Advertisers are responsible for ensuring their use of tracking tools complies with applicable data protection laws and for obtaining any necessary end-user consents.

10.9 Payment Disputes: If you believe a click was incorrectly billed to your Wallet, a payout or withdrawal was processed in error, or you suspect fraudulent activity affecting your account, you may submit a dispute through our support process at legal@adscod.com. Adscod will investigate reported disputes and may adjust Wallet balances, earnings, or payouts where an error or confirmed instance of fraud is identified.

11. Governing Law and Dispute Resolution

11.1 These Terms shall be governed by the laws of the Republic of Uganda.

11.2 All disputes shall be resolved under the exclusive jurisdiction of the courts of Uganda.

12. Miscellaneous

12.1 Entire Agreement: These Terms constitute the full agreement between you and Adscod and supersede all prior communications.

12.2 Severability: If any provision is deemed invalid or unenforceable, the rest shall remain in effect.

12.3 No Waiver: Failure by Adscod to enforce any provision does not constitute a waiver of that right.
