Creator Terms of Use

1. Acceptance of Terms

By creating a Creator account or using your bio page on Adscod, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease using the Platform.

2. Eligibility

• You must be at least eighteen (18) years of age.
• You must have legal capacity to enter into binding agreements in your jurisdiction.
• You must maintain at least one active and publicly accessible social media account.
• You must not have been previously suspended or terminated from the Platform for a violation of these Terms.

3. Account Registration and Verification

• You must provide accurate and complete information during registration and keep it current.
• Adscod may require identity verification, including government-issued identification.
• You are solely responsible for maintaining the security of your account credentials.
• Adscod reserves the right to reject any application at its sole discretion.

4. Role of the Creator

• As a Creator, you act as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship with Adscod or any Brand.
• Upon registration, you receive a free public bio page at adscod.com/@username, on which you may add two types of cards:
• Brand Campaign cards — automatically matched to live advertiser campaigns by The Eye, Adscod's proprietary matching and fraud-detection engine, based on targeting fit with your bio page and audience. There is no application, submission, or Brand approval step — eligible cards are matched and activated automatically. You earn a share of the advertiser's cost-per-click (CPC) bid for every click on the card that The Eye verifies as genuine. Where the advertiser has enabled brand affiliate tracking on a campaign, you additionally earn a share of the commission on any resulting sale, as set out in the Creator Commission Terms.
• Custom Link cards — free links to any destination you choose, with no revenue share to Adscod.
• You are responsible for complying with all applicable laws, regulations, and advertising standards, including any legally required disclosure of sponsored or affiliate content on your bio page.
• You shall not engage in fraudulent activities such as click farming, purchasing fake traffic, using bots, or otherwise manipulating clicks, sales, or engagement on your cards.
• The Eye continuously screens traffic to your bio page and clicks on your cards for fraud, including engagement anomalies, traffic-source abuse, and click-pattern irregularities. Clicks flagged as fraudulent are never credited to your earnings, and confirmed fraudulent activity may result in card suspension, earnings forfeiture, or account termination.
• Adscod does not guarantee that any particular Brand Campaign card will be matched to your bio page, the volume of clicks any card will receive, or the conversion rate of any brand affiliate sale.

5. Content and Conduct Standards

Your bio page, profile information, and any custom links or descriptions you add to your cards must:

• Be accurate and not misleading as to the destination or nature of any card
• Not contain unlawful, defamatory, hateful, violent, or sexually explicit material
• Include all legally required disclosures for sponsored or affiliate content (e.g., #ad, #affiliate)
• Not direct traffic obtained through bots, incentivized clicking, click farms, or other artificial means
• Comply with the Brand's own terms of use for any product you promote via an affiliate-enabled Brand Campaign card

Adscod reserves the right to remove or request removal of any bio page content, card, or link that violates these standards, the Acceptable Use Policy, or applicable law.

6. Commission and Payments

• Commission structures and payment terms are governed by the Creator Commission Terms.
• All payments are processed exclusively through Flutterwave Technology Solutions Limited, a licensed third-party payment infrastructure provider. Adscod is a technology platform and does not itself hold, custody, or manage user funds. Earnings are tracked in your Adscod Wallet, which is a ledger and accounting system — not a bank account or deposit facility. Actual funds are held within Flutterwave's regulated settlement infrastructure. Supported payout methods include mobile money (18+ African countries) and bank transfer.
• Earnings from verified clicks on your Brand Campaign cards are credited to your wallet balance automatically once The Eye confirms the click is genuine, with no escrow holding period. Brand affiliate commission on a resulting sale is credited once the advertiser confirms the sale through their own conversion report — see the Creator Commission Terms for the release process.
• You may withdraw your full wallet balance at any time. There is no minimum withdrawal threshold. When you request a payout, Adscod initiates a transfer through Flutterwave to your designated mobile money or bank account.
• You are solely responsible for reporting and paying any applicable taxes on your earnings.
• Adscod reserves the right to withhold or reverse a credited amount pending verification or investigation of suspected fraud or click manipulation on a card.
• A wallet PIN (4–6 digits) is required for withdrawals. You are solely responsible for the security of your wallet credentials.
• Platform Nature Disclosure: Adscod Ltd. is a technology platform company, not a bank, financial institution, or payment service provider. Adscod does not accept deposits, issue e-money, or operate a payment system. Wallet balances represent accounting entries that track amounts owed to you; they do not constitute deposits held by Adscod. All payment processing, fund settlement, and transfers are performed by Flutterwave, which is licensed and regulated by the Central Bank of Nigeria and authorised to operate across multiple African jurisdictions.

7. Intellectual Property Rights

• You retain ownership of original content you create for your bio page; however, you grant Adscod a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content for the purposes of operating, promoting, and improving the Platform.
• You must not infringe on any third-party intellectual property rights, including Brand trademarks and creative assets used in card images or links.
• All Adscod trademarks, logos, and platform content remain the exclusive property of Adscod.

8. Data and Privacy

• Your personal data is processed in accordance with our Privacy Policy.
• Adscod may collect and share aggregated click and sale performance metrics with Brands for campaign and program reporting purposes.
• You consent to Adscod accessing data from your connected social media accounts, as permitted by those platforms, for purposes such as profile verification and audience matching by The Eye.

9. Termination

• Either party may terminate this agreement at any time by providing written notice.
• Adscod may immediately suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or damage the reputation of Adscod or any Brand.
• Upon termination, your right to use the Platform ceases immediately. Obligations that by their nature should survive termination (e.g., payment, IP licenses, confidentiality) shall remain in effect.

10. Disclaimers

• Adscod does not guarantee the availability of campaigns, earnings, or engagement levels.
• The Platform is provided “as is” and “as available” without warranties of any kind.
• Adscod is not a party to any agreement between you and a Brand, except as expressly provided on the Platform.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Adscod's total liability to you shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

Adscod shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
