Influencer Commission Terms

1. Overview

Adscod facilitates campaigns between Brands and Influencers. Commission is the compensation earned by an Influencer for fulfilling the deliverables specified in a campaign brief.

These Commission Terms define the basis on which commissions are earned, calculated, verified, and disbursed.

2. Commission Structure

2.1 Types of Commission

• Flat Fee: A predetermined amount agreed upon for the campaign, paid upon verification of completed deliverables.
• Performance-Based: Earned based on measurable outcomes (e.g., clicks, conversions, sales) as defined in the campaign brief.
• Hybrid: A combination of flat fee and performance-based commission.

2.2 Commission Rate

Rates are specified in the campaign brief or Order Form and may vary by campaign type, deliverable scope, Brand preference, and Influencer tier.

2.3 Platform Service Fee

Adscod deducts a platform service fee from the gross commission amount. The applicable commission rate is subject to variation from time to time and is disclosed in the campaign brief or your Influencer dashboard prior to acceptance.

2.4 Escrow Wallet

All campaign funds are held in Adscod's Escrow Wallet system. Commissions are released from escrow to your wallet balance only upon verified completion and Brand approval of deliverables. Commerce earnings are held in escrow and automatically released seven (7) days after confirmed delivery, unless a dispute is filed.

3. Payment Terms

3.1 Payment Schedule

• Campaign commissions are released from escrow to your wallet upon Brand approval of deliverables.
• Commerce earnings are held in escrow and automatically released seven (7) days after confirmed delivery, unless a dispute is filed.
• Wallet-to-external withdrawals (mobile money, bank transfer) are processed through Flutterwave. Pending withdrawals not completed within twenty-four (24) hours are automatically reversed and the funds returned to your wallet.

3.2 Minimum Payout Threshold

A minimum payout threshold may apply. Commissions below the threshold will roll over to the next payment cycle. Thresholds are disclosed in the Influencer dashboard.

3.3 Payment Methods

• Commissions are credited to your Adscod Escrow Wallet balance upon approval.
• Withdrawals are processed through Flutterwave, Adscod's designated payment provider. Supported methods include mobile money (across 18+ African countries including Uganda, Kenya, Tanzania, Rwanda, Ghana, Senegal, Côte d'Ivoire, and others) and bank transfer.
• A wallet PIN (4–6 digits) is required for all withdrawal requests.
• You are responsible for providing accurate payment information. Errors due to incorrect information are your responsibility.

3.4 Minimum Payout Threshold

A minimum payout threshold may apply. Commissions below the threshold will roll over to the next payment cycle. Thresholds are disclosed in the Influencer dashboard.

3.5 Currency

Commissions are denominated and paid in the currency specified in the campaign brief. Where currency conversion is required, live exchange rates from Flutterwave are applied at the time of transaction. Currency conversion fees, if applicable, are borne by the Influencer.

4. Tax Obligations

• You are solely responsible for reporting, filing, and paying all taxes applicable to your commission income.
• Adscod does not act as your tax agent and will not withhold taxes unless legally required.
• Where required by law, Adscod may request a valid tax identification number or equivalent documentation.

5. Adjustments and Disputes

5.1 Adjustments

Adscod may adjust commissions in the event of chargebacks, product returns, fraudulent activity, or where deliverables did not meet the campaign brief requirements.

5.2 Dispute Resolution

• Commission disputes must be raised within thirty (30) days of the payment date via the Influencer dashboard or by emailing influencers@adscod.com.
• Adscod will review and respond to disputes within fifteen (15) business days.
• Adscod's decision regarding disputes shall be final, subject to applicable law.

6. Suspension and Forfeiture

• Adscod may suspend commission payments pending investigation of a suspected breach or fraudulent activity.
• If you are found to have engaged in fraud, metric manipulation, or material breach of these Terms, all unpaid commissions may be forfeited.
• Adscod reserves the right to recover commissions already paid where obtained through fraud or misrepresentation.
